The most part of downtown restaurants are open. Traditionally people have dinner with their relatives at home, but if you're going to have dinner in restaurant, it's recommended to make a reservation, at least 15 days before the date. There are hotels that organized special dinners with party until the morning of the following day, they require smart clothing. In relation to bars, a lot of then are open in the following zones: San Miguel, Cantarranas, Catedral, Paraiso... A few of them are crowded, but not all. People begin to arrive bars at 1 AM. That night bars close at 7 AM. Discos in general have special parties (called "cotillones"). For them you need previous reservation and wearing smart clothing.
In Spain, the tradition for receiving the New Year is eating 12 grapes with the chiming of the bells of a clock at 12. The most important clock is Puerta del Sol in Madrid, but also you can have them in Mayor Square at Valladolid. Shops are open in New Year's Eve, but they don't in New Year Day
